Duluth Pack and FINEX Cast Iron Cookware Co. American Made Giveaway

1) Giveaway Description And Period

The "Duluth Pack and FINEX Cast Iron Cookware Co. American Made" Giveaway (the "Giveaway") is one of chance. By entering, you will have a chance to win a Duluth Pack Weekender Duffel in Olive Drab canvas worth up to $315.00 and the FINEX Cast Iron Cookware Co. 14” Skillet With Lid worth up to $370.00. The Giveaway is sponsored by BKR Investments Duluth Tent and Awning dba Duluth Pack (referred to as "Duluth Pack") and FINEX Cast Iron Cookware Co. (referred to as “FINEX”). The Giveaway begins at 12:00 a.m. CST on Monday, October 16th, 2023, and ends at 11:59 p.m. CST on Monday, October 23rd, 2023 (the "Giveaway Period"). You may enter the Giveaway only once. The Giveaway winner will be chosen by November 30th, 2023.

 

2) The Prize

  1. a) The Giveaway has only two (2) prizes which will be awarded to one (1) winner (the "prize"). No prize substitutions, cash equivalent, or transfer of the Prizes will be permitted except at the sole discretion of Duluth Pack and FINEX. The prizes are no available for returns or exchanges at either Duluth Pack or FINEX.
  2. b) The prize winner must be 18 years of age or older. Duluth Pack and FINEX may require, as a condition to awarding the prizes, that you sign a liability and release (similar to Section 7.b) and/or 9, below) agreeing to release Duluth Pack and FINEX and its directors, officers, employees, agents, contractors and representatives from all losses or injuries of any kind resulting from acceptance, use, or misuse of the prizes.
  3. c) The prizes are expressly limited to the items listed above and does not include taxes or any other expenses. Other restrictions may apply.

3) Eligibility

  1. a) To be eligible to enter, you must be: (1) a legal U.S. resident, (2) at least eighteen (18) years of age as of the date of entry, and (3) the age of majority in the state in which you reside as of the date of entry. You must also comply with these official Giveaway rules ("Official Rules").
  2. b) Employees of Duluth Pack and FINEX or any entity involved in the production or promotion of the Giveaway, and members of such employees' immediate family, are not eligible to enter or win. The Giveaway is otherwise open to anyone who meets the eligibility criteria and complies with these Official Rules, including employees of any supplier of the prize and employees of any parent, subsidiary, or affiliate of Duluth Pack and FINEX, if such parent, subsidiary, or affiliate is not involved in the production or promotion of the Giveaway.
  3. c) To enter the Giveaway, you must have a valid email account and valid phone number, which Duluth Pack and FINEX can use to contact you.
  4. d) Any person attempting to defraud or in any way tamper with this Giveaway (whether electronically or otherwise) and any person who does not comply with these Official Rules, will be automatically disqualified, ineligible for any prize and may be prosecuted to the full extent of the law.



4) How to Enter the Giveaway

  1. a) Visit https://www.duluthpack.com/pages/finex-giveaway-page

Follow the instructions and enter the required information, including your email address and mobile phone number. 

  1. b) You may enter the Giveaway only once. 
  2. c) Mailing List. By entering this Giveaway, you agree to receive email offers in the future for various Duluth Pack and FINEX products and promotions. You may opt-out at any time by clicking "unsubscribe" at the bottom of any Duluth Pack and FINEX emails.
  3. c) SMS Text List. By entering this Giveaway, you agree to receive marketing text offers in the future for various Duluth Pack and FINEX marketing, products, and or promotions. You may opt-out at any time by replying "STOP" to any text.
  4. d) By entering, you agree to be bound by the results of the Giveaway, to be bound by these Official Rules, and to comply with all federal, state, and local laws and regulations. Duluth Pack and FINEX and those working for Duluth Pack or FINEX or on behalf of Duluth Pack or FINEX, will not be responsible for lost, late, misdirected, or damaged submissions, or for Internet, computer hardware or software, phone, and/or any other technical errors, malfunctions, or delays. Entries which are incomplete, illegible, inaccurate, forged, irregular in any way, or otherwise not in compliance with these Official Rules will be disqualified. Duluth Pack and FINEX are not responsible for typographical or other errors in the printing, the offering, or the administration of the Giveaway, these Official Rules or in the announcement of the grand prize or the winner. 



5) Winner Selection and Notification

  1. a) Duluth Pack and FINEX will randomly select one winner from the eligible entries. Duluth Pack and FINEX will also randomly select a runner-up, who will not be notified or announced (and whose identity will remain confidential) unless the original winner forfeits or is unable to accept the prizes. Odds of winning depend upon the number of eligible entries received.
  2. b) On or about November 30th, 2023, the winner will be notified by email that they are the winner. We will use the email address provided to us at the time of registration to notify the winner. A winner will be disqualified and forfeit the prizes if: (1) a winner does not respond within five (5) days of the first notification attempt, or (2) a notification e-mail is returned as undeliverable, (3) a winner rejects the prizes, (4) the winner fails to provide us with the required documentation within the applicable time period, or (5) Duluth Pack and FINEX determines, in its sole discretion, that the winner has not complied with any of the Official Rules. If any of these happen, the randomly selected runner up will be notified and announced as the winner and will be awarded the prize. If the prize is forfeited, no other compensation will be given. 

 

6) Use of Your Giveaway-related Personal Information

  1. a) Any information you provide to us when you enter the Giveaway is being provided only to Duluth Pack and FINEX. Duluth Pack’s and FINEX’S Privacy Policies explain what information we access and collect when you use the Duluth Pack and FINEX websites and how we use that information. We may access and use information associated with your entry form to administer the Giveaway, including to select, notify, announce, and verify the winner, and as otherwise explained in these Official Rules. Please read Duluth Pack’s Privacy Policy located at https://www.duluthpack.com/privacy-policy.html. Please read FINEX’s Privacy Policy located at https://app.termly.io/document/privacy-policy/6ccc70d5-3b53-4ab4-b4b2-4d23b263e826. By using the Duluth Pack website to enter this Giveaway, you agree to the terms of our Privacy Policy.
  2. b) Entries and other submitted material become the property of Duluth Pack and FINEX and will not be acknowledged or returned. By submitting an entry, you represent and warrant that you meet the requirements and qualifications for this Giveaway and that you have read and understood these Official Rules and fully agree to them.
  3. c) You agree to indemnify and hold Duluth Pack and FINEX, its officers, directors, employees, contractors, agents and representatives ("Indemnitees") harmless from and against any third-party claim (including reasonably attorneys' fees and costs) arising from any use of your entry. 

7) Taxes, Rights, and Other Obligations of the Winner

  1. a) At the sole discretion of Duluth Pack and FINEX, the randomly selected, winning entry may be used as part of any informational, marketing, promotional, public relations or media campaign by Duluth Pack and FINEX indefinitely, whether broadcast on television, online, social media, or otherwise. No compensation will be provided to winner or any other entrant in the event an entry is selected for broadcast. NOTE: BY WINNING THIS GIVEAWAY THERE IS NO GUARANTEE THAT YOUR ENTRY OR ITS CONTENT WILL BE USED BY DULUTH PACK OR FINEX OR OTHERWISE.
  2. b) By accepting the prize, the winner releases and discharges Duluth Pack and FINEX and its affiliated companies and their respective parents, subsidiaries, affiliates, advertising and promotion agencies, and all their respective employees, officers, directors, representatives and agents from any liability or damage due, in whole or in part, to the award, acceptance, possession, use or misuse of any prize or from participation in this Giveaway. 



8) Issues of Law

  1. a) Taxes. ALL FEDERAL, STATE, AND LOCAL TAXES RELATING TO PARTICIPATION IN THIS CONTEST OR THE AWARDING OF THE PRIZES ARE THE RESPONSIBILITY OF THE WINNER.
  2. b) Governing Law. All federal, state, and local laws and regulations are applicable. Entrants who violate these Official Rules, tamper with the operation of the Giveaway, or engage in any conduct that is detrimental to Duluth Pack and FINEX, the Giveaway, or any other entrant (as determined in Duluth Pack’s and FINEX’s sole discretion) are subject to disqualification. By entering, entrants agree that all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, participant's rights and obligations, or the rights and obligations of the United States of America in connection with the Giveaway shall be governed by Minnesota law, without regard to its conflicts of law provisions, which would cause the application of the laws of any jurisdiction other than the State of Minnesota, irrespective of the fact that any one of the parties is now or may become a resident of or is domiciled in a different state. Any claim or cause of action arising out of or related to this Giveaway or these Official Rules must be filed within one (1) year after such claim or cause of action arose regardless of any law to the contrary. In the event any such claim or cause of action is not filed within such one (1) year period, such claim or cause of action shall be forever barred. By entering, entrants consent to binding arbitration of any dispute arising out of or related to this Sweepstakes or these Official Rules in St. Louis County, Minnesota in accordance with the Commercial Arbitration Rules of the American Arbitration Association, and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. Nothing in this Section shall preclude an action for equitable relief by either party, and either party may request a court to issue such temporary or interim relief (including temporary restraining orders and preliminary injunctions), either before or after arbitration is commenced. The temporary or interim relief may remain in effect pending the outcome of mediation or arbitration. No such request is a waiver of the right to submit any dispute to arbitration. 
  3. c) Severability. If any provision of these Official Rules shall be held invalid, illegal, or unenforceable, such provision shall be enforced to the maximum extent permitted by law and the parties' fundamental intentions hereunder, and the remaining provisions shall not be affected or impaired, provided, however, that in such cases the parties oblige themselves to use their best efforts to achieve the purpose of the invalid provision by a new legally valid stipulation.
  4. d) Important Disclaimers and Limitations. The information and services included in or available through Duluth Pack, or duluthpack.com, FINEX or finexusa.com, or any other media used to promote the Giveaway may include inaccuracies or typographical errors. Changes are periodically made to our websites and to the information therein. Duluth Pack, FINEX, or their agents, representatives or contractors may change the duluthpack.com and finexusa.com websites any time.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DULUTH PACK, FINEX, ITS AGENTS, REPRESENTATIVES AND CONTRACTORS HEREBY DISCLAIM ANY WARRANTIES, OBLIGATIONS, LIABILITIES, RIGHTS AND REMEDIES, EXPRESS OR IMPLIED, ORAL OR WRITTEN, ARISING BY LAW OR OTHERWISE, INCLUDING THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TITLE, INFRINGEMENT OR ANY IMPLIED INDEMNITIES. YOU UNDERSTAND AND ACKNOWLEDGE THAT DULUTH PACK AND FINEX HAVE NOT MADE, AND YOU ARE NOT RELYING ON, ANY EXPRESS OR IMPLIED WARRANTIES OR REPRESENTATIONS TO YOU REGARDING THE VALUE OF THIS CONTEST OR THE ODDS, IF ANY OF YOU BECOMING A FINALIST OR A WINNER, OR ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, LACK OF VIRUSES OR OTHER HARMFUL COMPONENTS AND ACCURACY OF THE INFORMATION, PRODUCTS, SERVICES AND RELATED GRAPHICS USED IN CONNECTION WITH THE GIVEAWAY, THESE OFFICIAL RULES, THE DULUTH PACK WEBSITE OR THE RELATED DULUTH PACK AND FINEX GIVEAWAY LINKS. ALL DATA, INFORMATION, PRODUCTS, SERVICES AND GRAPHICS RELATED TO THE GIVEAWAY, THESE OFFICIAL RULES, THE DULUTH PACK WEBSITE, AND THE DULUTH PACK AND FINEX GIVEAWAY LINKS ARE PROVIDED "AS-IS, WHERE-IS" WITHOUT TECHNICAL OR OTHER SUPPORT OF ANY KIND. 

IN NO EVENT SHALL DULUTH PACK, FINEX, OR THEIR DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS OR REPRESENTATIVES BE LIABLE TO YOU OR ANY THIRD PARTY FOR INCIDENTAL, INDIRECT, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES (INCLUDING WITHOUT LIMITATION LOST PROFITS, MONIES OR LOST PRIZES) RELATED TO THE GIVEAWAY, THESE OFFICIAL RULES, THE PERFORMANCE OR BREACH OF THESE OFFICIAL RULES BY DULUTH PACK, FINEX, THE USE OR EXPLOITATION OF ANY SUBMITTED INFORMATION OR CONTENT, OR OTHERWISE, EVEN IF DULUTH PACK AND FINEX ARE AWARE OF THE POSSIBILITY OF SUCH DAMAGES OR IF THE EXCLUSIVE REMEDIES STATED HEREIN FAIL OF THEIR ESSENTIAL PURPOSE.
 

9) Your Release of Duluth Pack and FINEX From Any and All Liability

Entrants agree that Duluth Pack and FINEX and its directors, officers, employees, agents, contractors and representatives (the "Collective Parties") shall not be liable for, and you hereby discharge and release them from all losses or injuries of any kind resulting from: (i) acceptance/possession and/or use/misuse of the prizes, (ii) participation in the Giveaway, (iii) individual, joint or collective technical malfunctions of the telephone network and/or transmission line, computer on-line system, computer dating mechanism, computer equipment, hardware and/or software, (iv) any delay or distortion of an entry resulting from data transmissions that are garbled, incomplete, misdirected, lost, mutilated, delayed, corrupted, mechanically duplicated, illegible or otherwise not in compliance with these Official Rules, or (v) any use or exploitation of your entry in accordance with these Giveaway Rules. Entrants also agree that the Collective Parties are not responsible or liable for any injury or damage to an entrant or third person's computer or mobile device related to or resulting from the Giveaway and/or its prizes. The Collective Parties are not liable for damage to a user's computer system or mobile device (including, without limitation, any server failure or lost, delayed or corrupted data or other malfunction) due, either directly or indirectly, to an entrant's participation in the Giveaway or registration for or use of the Duluth Pack website, FINEX website, or information in connection with the Giveaway. The Collective Parties may at any time before, during or after the Giveaway Period modify or cancel the Giveaway for any reason or no reason, including without limitation in the event that any portion of any website used to administer any aspect of the Giveaway becomes technically corrupted.
